INSTRUCTIONS FOR THE APPLICATION OF THE DOCUMENT
The Licence should be made available to the Client before the Materials are downloaded and before their first use. Acceptance should be linked to a specific company, user, document version and date of acceptance.
• For new Clients: a separate, unticked checkbox and an active link to the full text of the Licence.
• For existing Clients: a re-acceptance screen before downloading new Materials or placing further orders.
• For non-standard campaigns, white label materials, modifications of photographs or sub-licences: separate written consent of Nord Kids.
• Each version of the Licence should be kept in an archive in unaltered form.
IMPLEMENTATION RULE
The Client should not gain access to high-resolution files before accepting the current version of the Licence. The public information page may display previews, but downloading files should require logging in and a valid acceptance.
§ 1. Parties, conclusion and relationship with other documents
1. This Licence is concluded between NORD KIDS spółka z ograniczoną odpowiedzialnością with its registered office in Warsaw (ul. Świeradowska 47, 02-662 Warszawa), NIP 5214148814, KRS 0001217860, hereinafter "Nord Kids" or the "Licensor", and the business entity indicated in the registration form, B2B account, order, acceptance record or signature section, hereinafter the "Client" or the "Licensee".
2. The Licence may be concluded by ticking a previously unticked acceptance box on the Platform, by affixing a signature, or by any other unequivocal declaration of will recorded in a manner enabling the determination of its content and of the person making the declaration.
3. The Licence supplements the Nord Kids B2B Platform Terms and Conditions, the Terms of Commercial Cooperation and the Non-Disclosure Agreement (NDA). In the event of any conflict concerning the use of the Materials, this Licence shall prevail, unless a separate consent of Nord Kids grants the Client broader entitlements.
4. Acceptance of the Licence does not oblige Nord Kids to make all Materials available or to continue the commercial cooperation.
§ 2. Definitions

Original Product
a product designed and manufactured by Nord Kids and lawfully acquired by the Client from Nord Kids or from an authorised source approved by Nord Kids.
Sales Channel
an online shop, brick-and-mortar shop, marketplace platform, price comparison site, catalogue, social media profile, newsletter, advertisement or other channel approved under the Licence.
Technical Modification
a change of format, size, compression or crop which does not alter the appearance, properties or context of the Product and does not mislead the recipient.
Sell-Off Period
the time after the ordinary termination of the cooperation during which the Client may use the Materials solely to sell its held, lawfully acquired stock of Original Products, provided that it satisfies the conditions of § 18.
Platform
the Nord Kids B2B platform available at the address indicated by Nord Kids.
§ 3. Representations of the Licensor and the status of rights to the Materials
1. Nord Kids represents that, with respect to the Materials made available to the Client, it holds the author's economic rights, a licence entitlement or another legal title enabling it to grant this Licence to the extent specified herein.
2. Not all Materials need constitute works protected by copyright. This Licence nevertheless sets out the contractual rules for the use also of materials, data and designations which are protected on another basis or whose use is restricted by reason of the commercial relationship between the parties.
3. Nord Kids may mark selected Materials with additional restrictions, a campaign period, a territory, a channel or an obligation to state the source. Such marking forms part of the terms of use of the given Material.
4. The Client does not acquire any rights to the images of persons, interiors, set designs, musical works or third-party elements beyond the scope arising from the Materials and this Licence.
§ 4. Grant of the licence and its nature
1. Nord Kids grants the Client a non-exclusive, non-transferable licence, limited by purpose and territory, to use the Materials made available, on the terms set out in this document.
2. The Licence is granted without the right to grant sub-licences, with the exception of the technical entrustment of activities to the entities indicated in § 15, acting exclusively for the benefit of the Client and under its responsibility.
3. The Licence is granted free of charge, unless Nord Kids indicates a separate fee for a specific Material or campaign.
4. The territory of the Licence covers the countries in which the Client lawfully sells Original Products, subject to restrictions arising from a specific Material, third-party rights or information provided by Nord Kids.
5. The Licence covers only the Materials actually made available to the Client by Nord Kids or downloaded by the Client from an authorised repository.
§ 5. Fields of exploitation and permitted channels
1. Within the limits of the purpose indicated in § 6, the Licence covers the following expressly specified manners of use:
• digital fixation and reproduction in the memory of devices, shop systems, PIM/CMS systems, the cloud used by the Client and in technical copies necessary for publication;
• uploading to server memory and making available in such a manner that recipients may access the Materials at a place and time of their own choosing, in particular in the online shop and in marketplace offers;
• displaying, publicly presenting and communicating the Materials at the point of sale, at trade fairs, in the showroom and during sales presentations;
• reproduction in printed catalogues, leaflets, product cards and POS materials in a print run reasonably related to the sale of Original Products;
• publication in social media, newsletters and online advertisements concerning Original Products;
• making Technical Modifications permitted under § 7.
2. The Licence does not cover fields of exploitation or manners of use not expressly listed, in particular the sale of the Materials as a standalone product, or making them available in stock photo banks, templates, creative libraries or training systems.
§ 6. Permitted purpose of use
1. The Client may use the Materials solely for the purpose of offering, promoting and selling Nord Kids Original Products and providing accurate information about those Products.
2. Each use of a Material must remain directly connected with a specific Original Product or with the general promotion of the Nord Kids brand conducted by the Client as a commercial partner.
3. The Client may not use the Materials in a manner suggesting that it is the designer, manufacturer or owner of the Nord Kids brand, an entity affiliated by capital or an exclusive representative, unless Nord Kids has given its express consent.
§ 7. Permitted technical modifications
1. Without separate consent, the Client may make only the following Technical Modifications:
• changing the resolution, dimensions, file format and compression level;
• proportional cropping, provided that the Product remains presented accurately and no essential elements, markings or information are removed;
• placing the photograph in a neutral shop layout, banner or product card;
• adding the shop's own logo outside the area of the Product, provided that it does not suggest authorship of the Material and does not obscure Nord Kids markings;
• translating descriptions into the language of the target market, provided that the meaning and parameters are preserved.
2. Any change of colours, background, product elements, arrangement, proportions, captions, watermarks, images of persons or context requires the prior consent of Nord Kids, unless the Material has been expressly made available as an editable template.
3. The Client is responsible for ensuring that a modification does not distort the characteristics of the Product, does not create a false variant and does not infringe third-party rights.
§ 8. Prohibited uses
1. Without the prior, express consent of Nord Kids, the following in particular is prohibited:
• using the Materials to offer, advertise or sell products not manufactured by Nord Kids;
• providing the Materials to other manufacturers, competitors, distributors not involved in the performance of the Client's sales, or persons intending to reproduce the Product;
• selling, renting, licensing, sub-licensing or publishing the Materials in stock photo banks, libraries, templates and public repositories;
• removing watermarks, legal metadata, authorship markings, logotypes or information on origin, if they have been placed by Nord Kids;
• using the Materials in content that is unlawful, discriminatory, pornographic, contrary to good morals or capable of damaging the reputation of Nord Kids;
• creating materials suggesting parameters, certificates, properties, promotions or availability which Nord Kids has not confirmed;
• using the Materials as an element of a trademark, design, domain, company name, packaging or the identity of another brand;
• using the Materials to copy the Products, to prepare production documentation, measurements or reconstructions, or to organise production outside Nord Kids.
§ 9. Sale of products of other manufacturers and the risk of misleading
1. The Client may sell products of other manufacturers, but must clearly separate their offers from the offers of Nord Kids Original Products.
2. No photograph, video, description, visualisation or element of a Nord Kids Material may be assigned to a product of another manufacturer, to a variant produced outside Nord Kids or to a product of uncertain origin.
3. It is not permitted to combine, within a single product card, an Original Product and substitutes of other manufacturers, if the Nord Kids Materials may suggest that all variants share the same origin.
4. The Client should maintain documents enabling the origin of the goods presented with the use of the Materials to be established and should provide explanations in the event of justified doubts raised by Nord Kids.
§ 10. Trademarks, name and identification of Nord Kids
1. The Licence permits the use of the Nord Kids name and logotype solely to the extent necessary to indicate the origin of, and to promote, Original Products and in accordance with the current brand guidelines.
2. The Client may not register designations identical or similar to Nord Kids as a company name, domain, profile, trademark, account name, keyword suggesting official status or seller identifier without the consent of Nord Kids.
3. The use of the terms "official", "authorised", "exclusive", "manufacturer" or equivalents is permitted only on the basis of a separate authorisation.
4. The Client may not modify the logotype, colour scheme or proportions of the Nord Kids mark, nor combine it with its own mark in a manner creating a new designation.
§ 11. Marketplaces, price comparison sites, social media and paid advertising
1. The Materials may be published on sales platforms, price comparison sites and social media only on accounts controlled by the Client and in connection with Original Products.
2. The Client is responsible for the correct assignment of photographs to the SKU, variant, colour and dimension and for keeping the offer up to date.
3. The Client may not grant a platform broader rights to the Materials than are necessary for the technical publication of the Client's own offer. If a platform's terms of service require an unlimited sub-licence or a right to further commercial use, the Client should obtain the consent of Nord Kids or refrain from publishing the Material.
4. Paid advertising may use the Materials solely to direct recipients to the offer of Original Products. It is prohibited to use Nord Kids designations to promote substitutes or products of other manufacturers.
5. The Client may not create accounts, profiles or pages which may be confused with the official channels of Nord Kids.
§ 12. Descriptions, technical data and currency of information
1. The Client may translate and edit descriptions for the needs of its Sales Channel, but may not change technical data, warnings, instructions, intended use or safety information without confirmation from Nord Kids.
2. In the event of any discrepancy between the Client's description and the current Nord Kids Product card, the data provided by Nord Kids shall prevail, unless they are manifestly erroneous.
3. The Client should update its offers upon receiving information about a change of parameters, the withdrawal of a variant, a correction of warnings or a change to the Materials, no later than within the time limit indicated by Nord Kids.
4. The Client bears responsibility for its own additions to descriptions, marketing claims and translations.
§ 13. Videos, animations, visualisations and audio materials
1. Videos, animations, renders and audio materials may be used in whole or in part only within the limits of this Licence and with the markings required by Nord Kids preserved.
2. Shortening a video, adding subtitles, changing between vertical and horizontal format and muting the sound are permitted, provided that they do not change the meaning, do not infringe third-party rights and do not create a misleading message.
3. Adding other music, a voice, statements, an image of a person or narration requires verification of the rights to the new elements and the prior consent of Nord Kids if it may affect the perception of the brand or the Product.
4. The Client may not make available source, project or layered files if it received them for the purpose of the technical preparation of a campaign.
§ 14. Materials generated or processed by AI
1. The Client may not use the Materials as training, fine-tuning, reference or input data for artificial intelligence or generative systems, if this may lead to the reproduction of the style, product, design, image or set design, or to the creation of new material competing with Nord Kids.
2. The technical use of an automated tool for compression, background removal, format change, translation or subtitle preparation is permitted, provided that the tool does not acquire any right to train on the Materials, does not publish them and preserves the confidentiality of non-public files.
3. AI-generated material may not present a non-existent variant of the Product as real, alter safety features or suggest approval by Nord Kids without express consent.
4. At the request of Nord Kids, the Client shall disclose whether a substantially modified Material was created using a generative tool, and shall cease using it if it breaches the Licence or may mislead recipients.
§ 15. Provision of Materials to employees and service providers
1. The Client may make the Materials available to its employees and to marketing service providers, printing houses, agencies, hosting providers and IT operators solely to the extent necessary to achieve the permitted purpose.
2. The Client shall ensure that such persons are bound by an obligation of confidentiality and by restrictions on use at least equivalent to this Licence.
3. A service provider does not acquire any independent right to use the Materials for other clients, portfolios, AI models, templates or its own campaigns.
4. The Client is liable for the acts and omissions of the persons to whom it has made the Materials available as for its own acts and omissions, to the extent permitted by law.
§ 16. File security and downloading from the platform
1. The Client shall protect the files against public indexing, unauthorised downloading and access by unauthorised persons, in particular high-resolution, source, editable and unpublished files.
2. Login credentials to the Materials repository may not be passed on to third parties. Access should be granted on a named-person basis and withdrawn once the need has ceased.
3. The Client should not publish direct, permanent links for downloading source files, nor make packages of materials publicly available.
4. In the event of loss of control over the Materials, a leak, an account takeover or an unauthorised publication, the Client shall immediately, and no later than within 24 hours of discovering the incident, inform Nord Kids and take reasonable measures to limit the consequences.
§ 17. Monitoring of public offers and cooperation in clarifications
1. Nord Kids may analyse publicly available Sales Channels in order to verify the compliance of the use of the Materials with the Licence, to protect the brand and to detect offers of products of uncertain origin.
2. In the event of justified doubts, Nord Kids may ask the Client to indicate the address of an offer, the SKU, the source of origin of the Product, the date of purchase, or to explain how the Material was obtained.
3. The Client shall provide reasonable explanations and shall promptly correct obvious errors. Any request should be proportionate and limited to the information needed to clarify the matter.
4. Nord Kids may make a test purchase of a product offered publicly, including through a third party, on general terms and in accordance with the law.
§ 18. Licence term and sale of remaining stock
1. The Licence is effective from the moment of its valid conclusion for the period of active commercial cooperation, unless it is earlier suspended, revoked or replaced by a new version accepted by the Client.
2. Following the ordinary termination of the cooperation, unrelated to any breach, the Client may for 30 days use the Materials solely for the purpose of selling its documented stock of Original Products acquired before the termination of the cooperation.
3. The Sell-Off Period does not apply if the Licence has been revoked on account of the use of the Materials to sell third-party products or counterfeits, an infringement of intellectual property rights or another material breach.
4. Nord Kids may make the Sell-Off Period conditional upon the presentation of a stock statement and may limit it to indicated SKUs or Sales Channels.
5. Upon the expiry of the Sell-Off Period, the Client shall remove the Materials in accordance with § 20, unless the parties agree otherwise in writing.
§ 19. Suspension and revocation of the licence
1. Nord Kids may temporarily suspend access to the Materials or the possibility of their further use if there is a justified suspicion of a breach, or a risk to the brand, third-party rights, product safety or of unauthorised access.
2. Nord Kids may revoke the Licence with immediate effect in the event of a material breach, in particular the use of the Materials to sell products not manufactured by Nord Kids, their provision to another manufacturer, the removal of markings in order to conceal origin, or a refusal to remedy a breach.
3. In the case of a breach capable of being remedied, Nord Kids may set an appropriate remediation period. Setting such a period is not necessary where continued use threatens material damage or an infringement of third-party rights.
4. Revocation of the Licence does not affect claims which arose before its revocation.
§ 20. Obligation to remove the Materials
1. Upon the expiry or revocation of the Licence, or upon receipt of a justified demand, the Client shall cease using the indicated Materials and shall remove them from all Sales Channels under its control.
2. Removal should take place without undue delay, no later than within 3 business days, and in the case of manifest use for the sale of a third-party or unlawful product – within 24 hours, if technically possible.
3. The obligation covers active and inactive offers, advertisements, pinned posts, catalogues, publicly accessible CMS/PIM resources, marketplaces, price comparison sites and files intended for further use.
4. The Client may retain a single archival copy solely to the extent required by law or necessary for the defence of claims, without any right to further commercial use.
5. Upon a justified request, the Client shall confirm the performance of the obligation, indicating the channels from which removal took place or providing screenshots. Disclosure of information unrelated to the matter is not required.
§ 21. Liability and contractual penalties
1. The Client is liable for damage resulting from a breach of the Licence on the terms set out in the applicable legal provisions and cooperation documents.
2. For each separate, material breach consisting in the use of the Materials to offer a product not manufactured by Nord Kids, the provision of the Materials to another manufacturer, the grant of an unauthorised sub-licence, or use for the purpose of reproducing the Product, the Client shall pay a contractual penalty of PLN 50,000.
3. For failure to perform the obligation to remove the Materials after the ineffective expiry of the deadline, the Client shall pay a contractual penalty of PLN 2,000 per day, capped at PLN 30,000 in respect of a single demand.
4. A single breach should not be artificially divided solely on account of the number of copies of the same Material. The separateness of breaches shall be assessed with regard to different products, campaigns, channels, periods and the Client's intent.
5. Nord Kids may seek damages exceeding the contractual penalty, provided that such a possibility is expressly retained in the final version of the document and is permitted by law.
§ 22. No transfer of rights and no implied entitlements
1. The Licence does not transfer to the Client any author's economic rights, rights to trademarks, designs, databases, know-how or other rights of Nord Kids.
2. The purchase of a Product does not mean the acquisition of any rights to photographs, designs, documentation, the name, the logotype or other Materials.
3. The absence of a reaction by Nord Kids to a specific use does not constitute consent, a waiver of rights or an extension of the Licence.
4. All entitlements not expressly indicated remain with Nord Kids or the relevant rightholder.
§ 23. Personal data and the acceptance register
1. Nord Kids may record the data necessary to demonstrate the conclusion and performance of the Licence, in particular the company and user identifier, the document version, the date and time of acceptance, the IP address and the technical confirmation of the event, in accordance with the appropriate legal basis and the privacy policy.
2. The scope of the data should be adequate to the evidentiary purpose, and the retention period should be linked to the duration of the agreement, the limitation periods and the need to defend claims.
3. The Licence does not replace the information required under data protection legislation. The Platform should present separate information about the controller, the purposes and the rights of data subjects.
§ 24. Amendments to the Licence and existing Clients
1. Nord Kids may amend the Licence for important reasons, in particular a change in the law, distribution channels, the rules for making the Materials available, third-party rights, security or the cooperation model.
2. A new version receives a number, a publication date and an effective date. The previous version remains in the archive, together with the ability to determine which Clients accepted it.
3. An existing Client will receive a notice of the amendment and access to the full text. If the amendment extends obligations or restricts entitlements, further downloading of new Materials or placing of new orders may require active acceptance of the new version.
4. Failure to accept the new version may result in restricted access to new Materials and Platform functions, but should not operate retroactively with respect to completed activities, subject to the protective obligations which continue to apply in accordance with the earlier version.
§ 25. Governing law, disputes and final provisions
1. The Licence is governed by Polish law, with due regard to the mandatory provisions applicable to the given relationship.
2. The parties shall first attempt to resolve any dispute amicably. Disputes shall be resolved by the court having territorial jurisdiction over the registered office of Nord Kids, insofar as such a stipulation is permissible between the parties.
3. If any provision proves to be invalid or ineffective, the remaining provisions shall remain in force, and the parties shall replace the defective provision with a solution as close as possible to its lawful economic purpose.
4. The Licence enters into force on the date of its publication on the B2B Platform.

A. Checkbox for a new Client
☐ I have read the Nord Kids Licence for Photographs, Videos, Descriptions and Marketing Materials, version [X.X], and I accept its terms. I acknowledge that the Materials may be used solely for the sale of original Nord Kids products.
B. Additional confirmation of particular importance
☐ I confirm that I will not use Nord Kids photographs, videos, descriptions or other Materials to offer or promote products not manufactured by Nord Kids, nor pass the Materials on to other manufacturers.
C. Notice for an existing Client
